(the "Company") is a San Diego based start-up Company dedicated to the design and development of video compression and communication systems based on the emerging international open standards H.264 and HDTV.  A growing number of potential customers require fast, efficient encoding for their end products including: Digital still cameras, Video surveillance equipment, Cell-phones, Teleconferencing equipment, Broadcast equipment, and Core network equipment. In addition, content and distribution providers such as Cable/telco head-end/edge providers, Content providers, TV producers and Educational material providers are always looking for ways to improve their performance, reduce bandwidth requirements and enter new mediums. The company is currently developing its propriety solution on Software and DSP based platforms with plans to migrate to a single-chip ASIC 

Solution           
Our Company possesses disruptive technology that allows it to outperform all the existing offerings in the Market. The Company has already developed an MPEG-2 based Covert surveillance solution that fits within a cigarette box, an MPEG-4 Advanced Simple Profile on an embedded DSP platform, and an H.264/AVC video compression solution. These system use our superior algorithms. We have in the process of demonstrating our superior rate-shaping system geared  toward the mobile and xDSL applications. We anticipate our systems to be used by end customers' hardware/systems such as: Digital still cameras, Video surveillance, Teleconferencing equipment, CMTS (Cable Modem Termination System), Telco's xDSL head-end, Wireless providers, Satellite distribution, Cable head-end, network providers, etc.
The heart of our solution and our IP excels in each of the following areas:
 
    * Ø Video compression: Our Standard-based (MPEG-4 & H.264) video compression system outperforms any available system due to our proprietary algorithms. The application areas also include Standard Definition Television (SDTV) and High Definition TV (HDTV).
    * Ø Transcoding: Efficiently changes an input video stream in any format to any other out format (including MPEG-2/1 to MPEG-4/H.264) without loss of quality but by decreasing the bitrate;
    * Ø Transrating: Our system is capable of changing the bit rate of a 3-6 Mbps MPEG-1/2 stream to a 1.5-2.5 Mbps MPEG-4/H.264 stream without altering quality -- allowing more channels in the same bandwidth;
    * Ø Rate Shaping: To dynamically adjust the encoder to change in characteristics of the channel without perceived disruption in video display flow;
    * Ø Statistical Multiplexing: Our system interleaves MPEG-2, MPEG-4, and H.264 data providing the ability to fit more channels into the same bandwidth;
    * Ø Encapsulation/Decapsulation: Our system tightly integrates with the customer's application so that it may receive from, or feed into, various connections having different input and out formats such as ATM, IP, MPEG-2, Cable, xDSL, satellite, and wireless.

Our system provides the opportunity for the head-end providers (cable, xDSL, LMDS, MMDS, satellite, and wireless), core network providers, content distributors, set-top box manufacturers, head-end providers, digital still camera manufacturers, and TV producers to provide high-quality multimedia content at a variety of bit rates. It ensures they will be able to make efficient use of the network bandwidth without degrading quality. This scalable and variable bit rate is important to our customers that are in the business of delivering multimedia content to existing devices with low bandwidth as well as future devices requiring much higher bandwidths.

The Team        
The Company was formed in Q4 2001, we are in the midst of submitting our patent portfolio. Our first product was a Covert Surveillance Equipment based on MEPG-2 compression technology. Our second product was an embedded, DSP based MPEG-4 video compression solution followed by our for H.264 applications and currently demonstrating our rate-shaping system. All these systems rely on our proprietary algorithms to implement the MPEG-4 & H.264 standards for video compression, transcoding, transrating (rate shaping), statistical multiplexing, MPEG-4/H.264 encoding, MPEG-4/H.264 decoding, and IP/MPEG-2 encapsulation and de-capsulation.

The company's management team consists of experienced technical leaders in the fields of video communications, network implementation, and wireless applications. The company's Founder is an Emmy Award winner for the invention of the DVD (while in Toshiba) and the development of the first authoring system for Time-Warner. He has been involved in the area of video communications over packet networks for more than 18 years. His experience includes spearheading the invention and development of current HDTV Standard for the US (while in Philips), DBS for the US, MPEG-2/MPEG-4/H.263/H.264/DVD worldwide, PacketCable applications, and head-end manufacturing. The company's management team has an extensive track record in hardware, software and integrated circuit design and development, applications engineering and customer support, manufacturing, high-tech marketing and high-end software and systems sales and sales management. In addition, several of the managers have founded and managed other successful high-tech start-up companies.
 
Product            
The Company insists on an extraordinarily high level of quality, user friendliness and innovation because the founder's extensive experience in customer contact and customer satisfaction. The company believes in using open standards such as MPEG-4/H.264 coupled with a highly-configurable platform to closely match each customer's particular needs. Its modular and configurable system allows the transformation of various data input formats such as broadcast video (cable or satellite) or stored video (disk or tape) to the lower rates necessary for the last/first mile connection in applications such as IPTV & DVB-H. We believe our system-oriented solution is strategically positioned to serve rapidly growing customer demand in the variety of areas mentioned above. The Company intends to become the leading ASIC (application specific integrated circuits) based solution provider in the area of digital still camera, video surveillance, head-end for Telcos, Cables, Wireless, satellite, set-top box manufacturers and TVs; the leading manufacturer for core network solution providers; and the choice for the content distributors such as University of Phoenix.  Early products will be based on DSPs (digital signal processors) and will be migrated to ASICs as the Company's funding and maturity grows.
 
Competition   
There are many companies in the MPEG-4/H2.64 area with their offering mostly differing from our system solution. Most available encoding solutions are based on built-to-spec concept without any advantage over other existing solutions. Other integrated circuit manufacturers, like Broadcom and Conexant, focus almost exclusively on the decoding process, ignoring the encoding process necessary for transcoding, transrating and multiplexing.
 
Because of our proprietary algorithms, we are able to outperform our competition in cost, complexity, power and foot-print. We anticipate some of the existing competitors will likely become customers as our solutions are inter-operable and based on open standards.   
 
Current    
Having completed our MPEG-4 and H.264 solutions, our current focus is on rate-shaping system.
